Terms of Service

1. Acceptance of Terms

By accessing or using the ParPilot.io platform and services ("Services"), you ("Customer" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

ParPilot.io provides an enterprise-grade Partner Relationship Management (PRM) platform that enables organizations to:

  • Manage partner profiles, relationships, and ecosystems
  • Automate partner onboarding and certification workflows
  • Register, track, and collaborate on sales opportunities and deals
  • Manage incentive programs, commissions, and MDF funds
  • Distribute marketing assets and content to partner networks
  • Monitor partner performance through analytics and dashboards
  • Communicate and collaborate with partner organizations

3. Account Registration

To access the Services, you must create an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities occurring under your account
  • Notify ParPilot immediately of any unauthorized use of your account

You must be at least 18 years old and authorized by your organization to use the Services.

4. Subscription Plans and Payment

ParPilot offers subscription-based access to the Services:

  • Starter Plan: $895/month, up to 25 partners
  • Growth Plan: $2,350/month, up to 250 partners
  • Professional Plan: $5,450/month, unlimited partners
  • Enterprise Plan: Custom pricing based on requirements

Payment terms:

  • Subscriptions are billed monthly or annually in advance
  • Annual subscriptions receive a 15% discount
  • All fees are non-refundable except as stated in our Refund Policy
  • ParPilot reserves the right to modify pricing with 60 days notice
  • Failure to pay may result in suspension or termination of access

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to any system or data
  • Conduct phishing, spam, or fraudulent activities
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the platform to compete with ParPilot
  • Scrape, crawl, or extract data without authorization
  • Transmit viruses, malware, or other malicious code

6. Data Ownership and License

Your Data: You retain all rights to the data you input into the platform ("Customer Data"). You grant ParPilot a limited, non-exclusive license to process Customer Data solely to provide the Services.

Our Technology: ParPilot retains all rights to the platform, software, algorithms, and intellectual property comprising the Services. Nothing in these Terms grants you ownership rights to ParPilot technology.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This obligation survives termination of these Terms for a period of five (5) years.

8. Service Level Agreement

ParPilot targets 99.9% uptime for the Services (excluding scheduled maintenance). Enterprise customers may negotiate SLA guarantees with financial remedies in their Enterprise Agreement. Planned maintenance will be communicated with at least 72 hours notice when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PARPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • PARPILOT'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

10. Termination

Either party may terminate these Terms:

  • By providing 30 days written notice for convenience
  • Immediately upon material breach that is not cured within 15 days of notice
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, Customer data will be available for export for 30 days, after which it will be securely deleted.

11. Governing Law and Disputes

These Terms shall be governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except either party may seek injunctive relief in a court of competent jurisdiction.
